This Creator Agreement ("Agreement") sets forth the terms under which you ("Creator") create, publish, and distribute content ("Content") through Kavasu ("Platform"). By submitting Content, you agree to be bound by this Agreement, the Platform's Terms of Service, and Community Guidelines. In the event of a conflict, this Agreement will prevail.
Creators must ensure all Content is original, accurate, lawful, and does not infringe upon intellectual property, privacy, or publicity rights of any third party.
Creators agree to comply with applicable laws and Platform policies, including those prohibiting hate speech, misinformation, harassment, defamation, or illegal activities.
Creators are responsible for maintaining confidentiality of non-public information about the Platform or its users.
Creators must make reasonable efforts to fact-check and substantiate claims made in their Content.
Creator retains ownership of all intellectual property rights in their Content.
Creator grants the Platform a non-exclusive, worldwide, perpetual, royalty-free license to use, reproduce, distribute, display, modify, adapt, translate, and promote Content in connection with the operation, marketing, or improvement of the Platform.
The license includes the right of Platform to create derivative works for editorial or promotional purposes, but the Creator retains all underlying rights.
Creator represents and warrants that they hold all rights necessary to grant this license.
Creator acknowledges that certain uses of their Content may fall within the fair use provisions of the U.S. Copyright Act of 1976 or similar doctrines in other jurisdictions, and that the Platform cannot guarantee protection against such legally permissible uses by third parties.
The Platform may review, moderate, restrict, or remove Content at its sole discretion if it violates this Agreement or Platform standards.
The Platform may temporarily or permanently suspend a Creator's account for repeated or material violations.
The Platform will make reasonable efforts to notify Creator prior to suspension, except in urgent cases where immediate action is required.
Content must comply with Platform guidelines on accuracy, ethical journalism, and responsible reporting.
Creators must disclose any sponsorships, paid promotions, or potential conflicts of interest as required by applicable law.
Content that spreads intentional misinformation, incites harm, or undermines community trust is prohibited.
Creators may configure subscription or compensation tiers (e.g., free, $5/month, $15/month), subject to Platform approval.
The Platform will process all payments from users and remit to Creator [X]% of net revenue (after deductions for transaction fees, chargebacks, and applicable taxes).
Payments will be made on a monthly basis, provided Creator meets the Platform's minimum payout threshold.
The Platform may adjust revenue share terms with 3 days' advance notice.
Either party may terminate this Agreement at any time with written notice.
Upon termination, Content already published may continue to be displayed under the license granted herein, except where removal is required by law.
Termination of this Agreement does not waive liability for breaches that occurred prior to termination.
Sections relating to Ownership, Indemnification, Dispute Resolution, and Termination obligations shall survive termination.
Creator agrees to indemnify, defend, and hold harmless the Platform, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from (i) Creator's Content, (ii) Creator's breach of this Agreement, or (iii) misuse of the Platform.
This obligation applies only to the extent such claims arise from Creator's acts, omissions, or Content.
To the maximum extent permitted by law, the Platform shall not be liable for any indirect, incidental, consequential, or exemplary damages arising out of Creator's use of the Platform.
The Platform does not guarantee any minimum audience, revenue, or visibility of Content.
This Agreement is governed by the laws of [State/Country], without regard to conflict of law principles.
Any disputes shall be resolved through binding arbitration in [City/State], except that either party may seek injunctive relief in court for intellectual property or confidentiality violations.
The costs of arbitration shall be shared equally, unless otherwise determined by the arbitrator.
The Platform may revise this Agreement with at least 30 days' notice to Creator, unless circumstances require a more urgent change.
Continued use of the Platform after changes become effective constitutes acceptance of the revised terms.
